1. What this policy covers

Unmanage, LLC ("Unmanage," "we," "us") respects copyright and expects the people who use the NextSuite applications to do the same. This policy explains how to tell us that material on the Services infringes your copyright, what we do when you tell us, and how someone whose material was removed can respond.

This policy forms part of our Terms of Service, and the words defined there have the same meaning here.


2. How to send a notice of claimed infringement

If you believe material stored on or reachable through the Services infringes a copyright you own, or that you are authorised to act for, send a written notice to our designated agent at the address in section 6.

Under the US Digital Millennium Copyright Act, your notice must include all of the following:

  1. your physical or electronic signature
  2. identification of the copyrighted work you say has been infringed, or a representative list of the works if there are several
  3. identification of the material you say is infringing, with enough detail for us to locate it, such as the sharing link or the address at which you saw it
  4. your name, postal address, telephone number, and email address
  5. a statement that you have a good faith belief the use complained of is not authorised by the copyright owner, its agent, or the law
  6. a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorised to act on the owner's behalf

A notice that leaves any of this out may not be effective, and we may not be able to act on it.

Misrepresentation. Under 17 U.S.C. section 512(f), anyone who knowingly misrepresents that material is infringing may be liable for damages, including costs and legal fees. If you are not certain whether the material infringes your copyright, take legal advice before sending a notice.


3. What we do with a valid notice

When we receive a notice that substantially meets the requirements in section 2, we will act expeditiously to remove the material or disable access to it, and we will take reasonable steps to notify the account holder who put it there.

The Services are built around private links rather than public listings, so removing material or disabling access to it may mean disabling the sharing links through which it was distributed. Those links stop working for everyone holding them, not only for the person who complained.


4. Counter-notice

If your material was removed or disabled and you believe that was a mistake, or that you have the right to use the material, you may send a counter-notice to our designated agent. It must include:

  1. your physical or electronic signature
  2. identification of the material that was removed or disabled, and the location at which it appeared before it was removed
  3. a statement, under penalty of perjury, that you have a good faith belief the material was removed or disabled as a result of mistake or misidentification
  4. your name, postal address, and telephone number
  5. a statement that you consent to the jurisdiction of the federal district court for the district in which your address is located, or, if your address is outside the United States, for any district in which Unmanage may be found, and that you will accept service of process from the person who sent the original notice or from that person's agent

If we receive a valid counter-notice we will forward a copy to the person who sent the original notice. We will restore the material or re-enable access to it not less than 10, nor more than 14, business days after we receive the counter-notice, unless our designated agent first receives notice from the person who sent the original notification that they have filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material.


5. Repeat infringers

We will terminate, in appropriate circumstances, the accounts of users who repeatedly infringe copyright. We may also suspend or terminate an account for copyright infringement at any time under section 9.2 of the Terms of Service, whether or not the account holder is a repeat infringer.


6. Designated agent

Our designated agent for copyright notices is Unmanage, LLC. Send notices and counter-notices under this policy to:

7. Changes to this policy

We may update this policy. When we do, we will change the "Last updated" date at the top and post the revised version at the same address.
